Please read these Terms of Service carefully before using VDI Agent. These Terms constitute a legally binding agreement between you and Christian Fiorillo / VDI Agent.
01 // ACCEPTANCE OF TERMS
By downloading, installing, or using VDI Agent (the "Software") or by accessing vdiagent.ai (the "Website"), you agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, do not use the Software or Website.
We may update these Terms from time to time. Continued use after changes constitutes acceptance. Material changes will be notified by email to registered users.02 // SERVICE DESCRIPTION
VDI Agent is a Windows desktop application that acts as an AI proxy for users operating within locked-down Virtual Desktop Infrastructure (VDI) environments such as Citrix, RDP, Azure Virtual Desktop, and AWS WorkSpaces. The Software runs on the host PC (not inside the VDI session) and forwards screen captures to AI providers selected by the user. AI responses are returned to the user via an overlay interface. VDI Agent is provided "as is" and is subject to the limitations described in Section 07.
03 // ACCOUNTS & LICENSE KEYS
To use paid features you must create an account and obtain a valid license key. ► You are responsible for maintaining the confidentiality of your credentials. ► One license key is valid for use by a single named user across all their devices. ► You must not share, sell, or transfer your license key to third parties. ► We reserve the right to suspend or terminate accounts that violate these Terms.
04 // BILLING & REFUNDS
Paid plans are billed monthly or annually via Stripe. All prices are in EUR and exclude applicable VAT. ► Subscriptions renew automatically at the end of each billing period. ► You may cancel at any time from your dashboard. Access continues until the end of the paid period. ► Refunds are available within 7 days of initial purchase for annual plans if you have used fewer than 50 AI interactions. Monthly plans are non-refundable. ► Enterprise plans are governed by a separate order form and SLA agreement.
05 // ACCEPTABLE USE
You agree not to use VDI Agent to: ► Violate any applicable law or regulation. ► Circumvent security controls, DLP policies, or IT governance measures in ways that are illegal or unauthorised by your employer. ► Generate, distribute, or store content that is illegal, defamatory, or infringes third-party rights. ► Reverse engineer, decompile, or attempt to extract the source code of the Software. ► Resell or sublicense the Software without written permission. ► Conduct automated attacks, scraping, or abuse of our API infrastructure. We reserve the right to suspend accounts that violate these rules without prior notice.
06 // AI OUTPUT DISCLAIMER
VDI Agent integrates with third-party AI providers (Anthropic Claude, OpenAI GPT, Google Gemini, DeepSeek). AI-generated responses: ► Are provided for informational and productivity purposes only. ► May contain errors, inaccuracies, or outdated information. ► Do not constitute legal, medical, financial, or professional advice. ► Are the responsibility of the respective AI provider's model and policies. We are not liable for any decisions made based on AI output. Always verify critical information from authoritative sources.
07 // LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law: ► VDI Agent is provided "AS IS" without warranties of any kind, express or implied. ► We do not warrant uninterrupted or error-free operation of the Software or Website. ► Our total liability for any claim arising from use of the Software shall not exceed the amount you paid us in the 12 months preceding the claim. ► We are not liable for indirect, incidental, special, or consequential damages, including lost profits or data loss. Nothing in these Terms limits liability for fraud, gross negligence, or death/personal injury caused by our fault.
08 // INTELLECTUAL PROPERTY
VDI Agent, its logo, and the Website content are the intellectual property of Christian Fiorillo / VDI Agent and are protected by copyright and other applicable laws. You are granted a limited, non-exclusive, non-transferable licence to use the Software solely for your own internal business purposes in accordance with the plan you subscribed to. Nothing in these Terms transfers ownership of any intellectual property to you.
09 // PRIVACY
Our collection and use of personal data is governed by our Privacy Policy, available at vdiagent.ai/privacy. By using the Service you confirm you have read and understood the Privacy Policy.
10 // GOVERNING LAW & DISPUTES
These Terms are governed by and construed in accordance with Italian law and, where applicable, EU law (including GDPR and the EU Consumer Rights Directive). Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Italy, unless mandatory consumer protection law in your country of residence provides otherwise. For consumer disputes within the EU, you may also use the European Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
